How We Work — Our Strategic Process

Step 1 – Commercial Deep-Dive

We begin by understanding your business model, commercial goals, and risk appetite. Our contracts are never “off the shelf” — they are built around how you operate.

Step 2 – Legal Architecture

We design a bespoke contractual framework aligned with current law, including the Digital Markets, Competition and Consumers Act 2024 (DMCCA) and the Data (Use and Access) Act 2025 (DUA Act).

Step 3 – Tactical Negotiation

We manage negotiations with your counterparties, balancing commercial leverage with long-term legal protection.

Step 4 – Lifecycle Support

We provide continuing advice and contract updates, ensuring your agreements remain compliant through the 2026 digital border transition and future market reforms.

Our Commercial Contract Services

ServiceWhat We Deliver
Business Services AgreementsTailored agreements that define deliverables, performance standards, and liability caps, drafted to comply with UCTA 1977 and the DMCCA 2024.
Supply & Distribution ContractsUK and international frameworks protecting pricing, exclusivity, and competition rights, designed for transparency and CMA compliance.
Sales AgreementsPrecise contracts setting out warranties, payment terms, and digital product protections, aligned with the DMCCA’s “subscription trap” and fake-review standards.
Contract Support & ReviewExpert audits of existing agreements to identify hidden risks, renewal clauses, and outdated data provisions under the DUA Act 2025.
Partnership AgreementsStructured arrangements covering profit sharing, management powers, and exit planning, ensuring stability and clarity between partners.

Compliance with Modern Legal Standards

Our solicitors ensure your contracts meet every current UK commercial standard.

Each document we prepare is designed to comply with the Companies Act 2006, the Unfair Contract Terms Act 1977, and the Consumer Rights Act 2015, as modernised by the DMCCA 2024.

We integrate new compliance clauses reflecting the Data (Use and Access) Act 2025, which updated the UK GDPR and introduced “Recognised Legitimate Interests” for commercial data sharing.

Our contracts also meet the new Subject Access Request (SAR) standard “reasonable and proportionate” to protect your business from unnecessary administrative burden.

For high-value or property-linked transactions, we use HMLR-compliant Qualified Electronic Signatures (QES), introduced in October 2025, allowing for secure, witness-free digital execution of deeds.

We also advise on restrictive covenants, reflecting current Government guidance to cap non-compete clauses at 3–6 months, ensuring your agreements remain enforceable under evolving best-practice standards.

Contract Negotiation and Risk Management

Our approach goes beyond drafting. We work as part of your commercial team, identifying risks before they become disputes.

We assess liability, indemnity, and termination clauses to safeguard your operational flexibility.

We also ensure your contracts include appropriate data-processing, confidentiality, and anti-bribery terms in line with the Bribery Act 2010 and modern ESG compliance standards.

Every agreement we prepare is written in clear, plain English, ensuring all parties understand their obligations from the outset.

Executive Intelligence — 2026 Readiness

Is our 2024 Terms of Business still valid for 2026?

Not necessarily. The DMCCA 2024 and DUA Act 2025 introduced significant new obligations on digital contracts, data handling, and subscription renewals. Legacy templates may need updating to remain enforceable.

Can we execute all commercial deeds digitally now?

Yes. From October 2025, HM Land Registry recognises Qualified Electronic Signatures (QES) as the standard for digital deeds. We verify and implement compliant signing processes for clients.
